My brand new quest 3 keeps powering down after sometime in the dark whilst lying down. Its really strange and its not on any specific app or game. Should i return it for a replacement?

You need light to use the Quest 3, same as other inside out hmds. Does it power down if you turn on the light?
Quest 3 is not meant to work in darkness, if you want darkness get Rift CV1, Vive (Pro), Index or other hmds using external tracking.

I will try playing it whilst lying down with the lights on a few times but it’s odd that it won’t at least stay on whilst I watch a movie or some YouTube videos in the dark. I just doesn’t seem to make sense to me.

head movement should be counted as activity too if its completely dark, so try to change auto sleep to 15 minutes, and move your head a bit every 10-15 minutes to show activity.
